Terms & Conditions

These terms govern your engagement with Saujana's consulting services. We've written them in plain language so you can read them without a legal dictionary. By contacting us or engaging our services, you agree to the conditions set out below.

1. Definitions

In these Terms and Conditions, the following words carry these meanings:

  • "Saujana" / "We" / "Us" / "Our" — refers to Saujana, a business consulting firm registered and operating in Kuala Lumpur, Malaysia.
  • "Client" / "You" / "Your" — refers to any individual or business entity that contacts, engages, or uses the services offered by Saujana.
  • "Services" — refers to the consulting, advisory, and operational review services described on our website and in any written engagement agreement, including the Neighbourly Check-In, Daily Workings Review, and Shoulder-to-Shoulder Advisory packages.
  • "Agreement" — refers to these Terms and Conditions together with any written engagement letter, quotation, or service confirmation exchanged between us and you.
  • "Session" — refers to a scheduled meeting, call, or visit between a Saujana consultant and you, as set out in the relevant service package.
  • "Written Notes / Report" — refers to written documentation provided by Saujana following any session, summarising observations, suggestions, or recommendations.
  • "Website" — refers to the Saujana website at saujanamy.live.

2. Acceptance of Terms

By submitting an enquiry form, contacting us by phone or email, or entering into a written engagement with Saujana, you confirm that:

  • You have read and understood these Terms and Conditions.
  • You are at least 18 years of age, or acting on behalf of a registered business entity with authority to bind that entity.
  • You have the legal capacity to enter into a service agreement under Malaysian law.
  • You agree to comply with all conditions set out herein.

If you do not agree with any part of these terms, please do not engage our services.

3. Services Description

Saujana provides small business consulting and advisory services, primarily to sole proprietors, partnerships, and small enterprises based in Malaysia. Our three main service packages are:

Neighbourly Check-In RM 700

A single advisory session with written notes and suggestions. Suitable for owners seeking a fresh perspective on a specific area of their business.

Daily Workings Review RM 1,600

A four-week engagement with two advisory sessions and a review of day-to-day operations. Delivers a written report with practical observations and suggestions.

Shoulder-to-Shoulder Advisory RM 3,350

A six-month engagement with monthly sessions and quarterly reviews. Provides sustained, close-proximity support throughout your business's development.

Services are available primarily in the Klang Valley region. Remote sessions may be arranged where appropriate. Saujana reserves the right to decline an engagement if the scope falls outside our areas of expertise.

4. Client Responsibilities

To allow us to be genuinely useful, we ask that you:

  • Provide accurate and complete information about your business when requested.
  • Be available for scheduled sessions at the agreed times, or give at least 48 hours' notice if rescheduling is needed.
  • Engage in good faith — our suggestions work best when there is open communication.
  • Not use our written notes or reports for any unlawful purpose.
  • Respect the time of our consultants and staff.
  • Ensure that all information shared with us does not infringe the rights of any third party.

We are not responsible for outcomes resulting from inaccurate information provided to us or from your decision not to follow our recommendations.

5. Intellectual Property

All written notes, reports, frameworks, templates, and methodologies produced by Saujana remain the intellectual property of Saujana. We grant you a limited, non-exclusive, non-transferable licence to use these materials for your own internal business purposes only.

You may not:

  • Reproduce, distribute, or sell our reports or frameworks to third parties.
  • Present our work as your own in any public or commercial context.
  • Use our materials to develop competing consulting products or services.

All content on the Saujana website — including text, graphics, and design — is owned by Saujana and protected under applicable Malaysian law.

6. Fees & Payment

All fees are quoted in Malaysian Ringgit (RM) and are inclusive of applicable taxes unless otherwise stated in writing.

  • Neighbourly Check-In: Full payment of RM 700 is due before the session date.
  • Daily Workings Review: A deposit of 50% (RM 800) is due upon confirmation. The remaining balance is due before the second session.
  • Shoulder-to-Shoulder Advisory: A deposit of 30% (RM 1,005) is due upon confirmation. Monthly instalments cover the remainder over the engagement period.

Accepted payment methods: Bank transfer (online banking), cheque payable to Saujana, or such other methods as confirmed in writing.

Refunds: If you cancel an engagement at least 5 business days before the first session, any deposit paid will be refunded in full. Cancellations made with less than 5 business days' notice are non-refundable. No refund is issued once sessions have commenced.

7. Service Delivery Terms

We will make every reasonable effort to deliver our services in a helpful and timely manner. The following conditions apply:

  • Written notes and reports will be delivered within 5 business days of the relevant session, unless agreed otherwise in writing.
  • Sessions will take place at the agreed location (your premises, our office, or remotely) as confirmed in writing.
  • Session dates may be rescheduled by mutual agreement with at least 48 hours' notice from either party.
  • If Saujana needs to reschedule due to unforeseen circumstances, we will offer the next earliest available date at no additional charge.
  • The scope of each package is as described. Any additional work beyond the agreed scope will be subject to a separate written quotation.

8. Confidentiality

We understand that you will share sensitive business information with us. We treat all client information as confidential.

  • We will not disclose your business information to third parties without your written consent, except where required by law.
  • Our consultants and staff are bound by confidentiality obligations.
  • We may reference the nature of work done (e.g., "we advised a retail business in KL") for general marketing purposes, but will never identify you or your business without your permission.

This confidentiality obligation survives the end of any engagement between us.

9. Disclaimers

Our services are provided in good faith, drawing on our experience and knowledge. However:

  • We do not warrant that following our suggestions will result in any specific financial outcome or business improvement.
  • Our advice is general in nature and based on the information you share with us. It does not substitute for legal, accounting, tax, or financial advice from a licensed professional.
  • Business results depend on many factors outside our control, including market conditions, execution quality, and third-party actions.
  • Our website and its content are provided for informational purposes. We do not guarantee the accuracy or completeness of information on the website at all times.

10. Limitation of Liability

To the extent permitted by Malaysian law:

  • Saujana's total liability to you for any claim arising from an engagement shall not exceed the total fees paid by you for that specific engagement.
  • We are not liable for any indirect, consequential, incidental, or special loss or damage, including loss of business, revenue, profits, or goodwill.
  • We are not liable for any failure to perform our services where such failure arises from circumstances beyond our reasonable control, including but not limited to illness, natural disaster, or disruption to communications infrastructure.

11. Indemnification

You agree to indemnify and hold harmless Saujana, its consultants, and staff from and against any claims, losses, costs, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of our deliverables, or any false or misleading information you have provided to us.

12. Termination

By you: You may end an ongoing engagement by giving us 10 business days' written notice. Fees for work already completed or sessions already held are non-refundable.

By Saujana: We reserve the right to end an engagement with 10 business days' written notice if we believe the working relationship is no longer productive, or immediately if you have breached these Terms in a material way. In the event we terminate without cause, any unearned fees paid in advance will be refunded on a pro-rata basis.

Survival: Sections 5 (Intellectual Property), 8 (Confidentiality), 9 (Disclaimers), 10 (Limitation of Liability), and 11 (Indemnification) remain in force after termination.

13. Dispute Resolution

Governing Law: These Terms are governed by and construed in accordance with the laws of Malaysia, including the Contracts Act 1950 and the Consumer Protection Act 1999 where applicable.

Jurisdiction: Any dispute shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.

Informal Resolution: We prefer to resolve disagreements directly and constructively. If a dispute arises, please contact us first at [email protected]. We will endeavour to respond within 5 business days and work in good faith toward a resolution.

Mediation: If informal resolution is not possible, the parties agree to attempt mediation through the Malaysian Mediation Centre before commencing formal legal proceedings.

14. General Provisions

  • Entire Agreement: These Terms, together with any written engagement confirmation, constitute the entire agreement between us and supersede all prior discussions or understandings.
  • Severability: If any provision of these Terms is found to be unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full effect.
  • Waiver: Our failure to enforce any right under these Terms on one occasion does not waive our right to enforce it on any future occasion.
  • Assignment: You may not transfer your rights or obligations under these Terms without our written consent. We may transfer our obligations to a suitably qualified party without your consent, provided our standard of service is maintained.
  • Notices: Written notices may be sent by email to the addresses confirmed at the time of engagement. Notices sent by email are deemed received on the next business day.

15. Changes to Terms

We may update these Terms from time to time to reflect changes in our services or applicable law. When we do:

  • The updated Terms will be published on this page with a revised "Last Updated" date.
  • For ongoing engagements, we will notify you by email at least 14 days before any material change takes effect.
  • Your continued use of our services after the effective date constitutes acceptance of the updated Terms.
